1. Who we are

Sourship is operated by sourship LLC, a limited liability company organised under the laws of the State of Wyoming, United States (Wyoming filing ID 2024-001567276), with its registered office at 30 N Gould St Ste R, Sheridan, WY 82801, United States.

In these Terms, “Sourship”, “we”, “us” and “our” mean sourship LLC. “You” and “Seller” mean the person or business that holds a Sourship account.

2. What these Terms cover

These Terms govern your access to and use of the Sourship website, seller dashboard, and all related services (the “Service”). By creating an account or using the Service, you agree to them. If you do not agree, do not use the Service.

The following documents form part of these Terms:

  • Refund and Cancellation Policy
  • Shipping and Delivery Policy
  • Acceptable Use and Prohibited Products Policy
  • Privacy Policy

Where a specific figure or procedure appears in one of those documents, such as a refund window, a delivery estimate or a return deadline, that document governs. These Terms do not repeat those figures.

3. What Sourship does

Sourship is a sourcing and fulfilment service. We are not the manufacturer of your products, and we are not the seller of your products to your customers.

Through the Service you can:

  • search and import product data from 1688 and Taobao;
  • submit sourcing requests, so that we purchase products from suppliers on your behalf;
  • store your purchased inventory at our facility in China;
  • connect your sales channels, such as Etsy; and
  • submit fulfilment requests when you make a sale, so that we pack and ship the order to your customer.

Sourship is designed for you to buy inventory first and sell it afterwards. The consequences of selling products before they reach our facility are set out in the Shipping and Delivery Policy.

We may use carriers, suppliers and service providers to deliver the Service. We remain responsible to you for the services we provide under these Terms.

3A. Connected stores and marketplaces

You may connect an online store you own — such as Shopify, WooCommerce, Etsy or eBay — to your Sourship account. By doing so you authorise Sourship to access that store in order to import your orders, keep stock levels in step, update your own listings at your request, and send tracking information back.

You remain responsible for your store and for following the rules of the marketplace you sell on, including its rules on what may be sold and how items must be described. Where Sourship helps create a listing for your WooCommerce or Shopify store, it arrives as a draft for you to review. An eBay listing goes on sale only once you have allocated units to it. Sourship never creates Etsy listings. You are responsible for every listing you publish.

Sourship handles data from a connected store as set out in our Store Data Policy, which forms part of these Terms. You can disconnect a store at any time, which revokes our access and erases that store’s buyer details.

Etsy disclaimer. THIS APPLICATION IS PROVIDED SOLELY BY SOURSHIP (“THE APPLICATION DEVELOPER”). YOU ACKNOWLEDGE THAT ETSY, INC. AND ITS AFFILIATES ARE NOT THE DEVELOPERS OF THE APPLICATION, DO NOT PROVIDE THE ASSOCIATED SERVICE, AND MAKE NO WARRANTY OF ANY KIND REGARDING THE APPLICATION OR THE DATA IT ACCESSES.

Disclaimer. This service is provided solely by Sourship. Etsy, Inc., Shopify, WooCommerce, eBay and any other marketplace are not the providers of this service, do not operate or endorse it, and make no warranty of any kind regarding it or the data it accesses. The term “Etsy” is a trademark of Etsy, Inc. Sourship uses the Etsy API but is not endorsed or certified by Etsy.

Support for anything related to a connected store is available from Sourship at support@sourship.com.

4. Eligibility and accounts

Who may register. Both registered businesses and individuals may hold a Sourship account. You must be at least 18 years old and legally capable of entering into a binding contract.

Consumer rights. Where you use the Service for purposes outside your trade or profession and you are resident in the European Union or the United Kingdom, you may have rights under consumer protection law that cannot be excluded by contract. Nothing in these Terms limits those rights. Where these Terms conflict with a mandatory consumer right that applies to you, that right prevails.

Accuracy. You must provide accurate, complete and current information, and keep it up to date. We send all notices to the email address on your account.

Security. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us immediately if you suspect unauthorised access.

One account. You may hold one account unless we agree otherwise in writing.

5. Application and approval

Sourship is a selective service. Signing up does not by itself create an account.

  1. You select a plan and submit card payment details, together with a short questionnaire about your business and intended use of the Service.
  2. Your payment is authorised but not charged.
  3. We review your application, usually within two business days.
  4. If approved, payment is charged and your subscription begins on that date.
  5. If not approved, the authorisation is released and no charge is made. Your bank decides how quickly the held amount becomes available again.

We may decline any application at our discretion, and we do not give reasons for a decline. We do not discriminate on the basis of nationality, race, religion, sex, disability or any other characteristic protected by law.

6. Subscriptions

Plans. Current plans, prices, plan periods and included sourcing credits are shown on our pricing page. The terms shown when you subscribe apply to that subscription.

No automatic renewal. Your subscription does not renew automatically. We send reminders before your plan ends. To renew, you pay for a new period. If you do nothing, your plan simply ends.

Price changes. We may change plan prices. A change applies only to renewals after the new price is published, never to a period you have already paid for.

Free trials. Sourship does not currently offer free trials.

Order limits. Each plan includes a monthly limit on the number of orders we will fulfil, shown on our pricing page. One order means one shipment to one recipient, however many items it contains. When you reach your limit, we stop accepting new fulfilment requests until you upgrade or buy additional orders from your dashboard. Unused order allowance does not carry over.

Refunds. Subscription refunds are governed by the Refund and Cancellation Policy.

How you pay. Your first subscription payment is made by card. Later periods are paid from your wallet, from the Subscription page.

When a plan ends. You can still sign in and see your account, but sourcing, ordering and other actions are unavailable until you pay for a new period. Nothing is deleted. Your wallet balance and purchased credits remain yours. Your inventory is handled under section 10.

7. Sourcing credits

What a credit is. One sourcing credit allows you to add one product to your Sourship inventory, whatever quantity of that product you buy. Restocking a product already in your inventory does not use a credit.

Searching. Searching and browsing products does not use sourcing credits. Each plan includes a search allowance, and searches may also be limited per minute, because the marketplaces we connect to limit how often we can query them. Search availability depends on those marketplaces and is not guaranteed.

Plan credits reset each month and do not carry over. You can buy additional credits from your dashboard at any time. Purchased credits do not expire and remain in your account if your plan ends. Plan credits are always used first. Credits have no cash value and are non-refundable once bought, except as set out in the Refund and Cancellation Policy.

7A. Sourcing, minimum quantities and additional services

Minimum order quantities. Where a supplier sets a minimum order quantity, it applies. If you agree different terms directly with a supplier, you can submit the product as a manual request, and we will quote and purchase it on the terms the supplier gave you.

Supplier information. Supplier ratings and history shown in the Service come from the source marketplace. We pass this information on so that you can judge a supplier. It is not our assessment or recommendation, and we do not guarantee a supplier’s performance.

Alternative suppliers. Where a product is unavailable or unsatisfactory, we may offer an alternative supplier for the same product. The decision to buy is yours.

Price negotiation. For bulk purchases on eligible plans, we may negotiate with suppliers on your behalf. Any reduction the supplier agrees is passed to you in full. We cannot promise that a supplier will negotiate or that any particular price will be achieved.

Private label and branding services. On eligible plans we can coordinate custom packaging, labelling and branded production. Your subscription pays for our time and coordination, not for a finished brand, and it does not include any promise to complete a branding project within a given period. Each project is quoted individually before work begins, covering scope, cost, minimum quantities and expected timing. You pay all supplier, materials and production costs. Timings depend on the supplier and the product and cannot be guaranteed. Custom-branded goods are made to your order: once production begins, they cannot be cancelled, returned or refunded except where they do not match the agreed specification.

Your brand. You keep ownership of the designs, artwork and trade marks you send us, and you license us to use them only to produce and ship your orders. You confirm that you own or are licensed to use them, and that they do not infringe anyone else’s rights. We do not check trade mark availability or register rights for you.

8. Wallet

You pay for inventory, orders and other services from your Sourship wallet, which you top up by bank transfer. Wallet funds may be used only for Sourship services and cannot be transferred to other users.

Your wallet balance belongs to you. Top-ups, withdrawals, inactive accounts and unclaimed balances are governed by the Refund and Cancellation Policy. We may deduct from your wallet any amount you owe us under these Terms.

9. Pricing and currency

Product prices. Product prices are published by suppliers in Chinese yuan (CNY) and converted to US dollars for your order.

What the product price includes. The product price you see in the Service includes a small adjustment over the supplier’s listed price, covering currency conversion, payment costs and exchange rate movement between your order and our payment to the supplier. The price shown when you place a request is the price you pay.

Supplier delivery to our facility. Some suppliers charge for delivery to our facility. Where they do, that cost is shown per piece and charged with your request. Storage, sorting, inspection and handling at our facility are included in your subscription at no extra charge.

Conversion rate. Where prices are converted from CNY, Sourship applies its own conversion rate. This rate is set by Sourship, includes a margin, and will differ from published market exchange rates. The rate shown when you place an order applies to that order. We may change the rate at any time for future orders.

Shipping rates. The Sourship shipping rate is Sourship’s price for shipping and handling. It is set by Sourship, includes our own margin, and is not the carrier’s cost. Duties and taxes are handled as set out in the Shipping and Delivery Policy.

Included services. While your subscription is active, storage, inspection, packing, standard packaging and order handling are included at no extra charge.

Your own costs. You are responsible for any fees charged by your own bank or payment provider, and for your own tax registration, reporting and obligations.

10. Inventory and storage

Ownership. Products we purchase for you belong to you once we have paid the supplier with your funds.

Our responsibility. While your inventory is at our facility, we are responsible for it. If it is lost or damaged through our fault, we will credit your wallet with the price you paid for it, or replace it.

While your plan is active. Storage is free and has no time limit.

If your plan ends. We hold your inventory for three months from the date your plan ends and will contact you by email and WhatsApp during that time, asking you to renew or arrange removal of your stock at your cost. At least 30 days before the three months end, we send a final written notice to the email address on your account stating the date after which section 10 “Abandoned inventory” will apply.

Abandoned inventory. If by that date you have not renewed, arranged removal, or reached another written agreement with us, your inventory is treated as abandoned. You authorise us to sell, donate, recycle or dispose of it at our discretion. If it is sold, we apply the proceeds first to any amounts you owe us, including reasonable costs of storage after your plan ended and of the sale, and credit any remaining amount to your wallet.

Security for amounts owed. You grant Sourship a right to hold your inventory as security for any amounts you owe us under these Terms.

Goods we will not store. We may refuse to store goods that are unlawful, hazardous, perishable, or prohibited under the Acceptable Use and Prohibited Products Policy.

11. Inspection and product data

We inspect products on arrival for visible condition and match to the supplier listing. Inspection is not a certification of quality, safety, compliance or authenticity, and does not detect hidden defects. How inspection problems are resolved is set out in the Refund and Cancellation Policy.

Product information in the Service comes from supplier listings and marketplace data. We do not verify it and do not promise that descriptions, images, specifications or stock levels are accurate or current.

12. Your responsibilities as a seller

You are the seller to your own customers. Sourship has no contract with them. You are responsible for:

  • ensuring your products may lawfully be imported into, sold in and used in each destination country;
  • product safety, labelling, certification and regulatory compliance;
  • ensuring every product you source and sell is genuine or authorised by the rights holder, and does not infringe anyone’s intellectual property;
  • the accuracy of the addresses and customs information you submit;
  • customer service, returns and disputes with your customers, including your store’s own return policy; and
  • your own tax obligations.

13. Counterfeit and infringing goods

Counterfeit and infringing goods are prohibited on Sourship. Our inspections do not verify authenticity, and you warrant that every product you source through Sourship is genuine or authorised.

When we receive a complaint or other information suggesting that goods may be counterfeit or infringing, we may hold your related orders and inventory, ask you for proof such as supplier invoices or authorisation from the rights holder, and suspend or close your account if proof is not provided. The procedure is set out in the Acceptable Use and Prohibited Products Policy.

Goods seized, destroyed or refused because they are counterfeit, infringing, restricted or prohibited are not refunded or reshipped.

14. Sanctions and export compliance

sourship LLC is a United States company and complies with US sanctions and export control law.

You may not use the Service if you are located in, ordinarily resident in, or organised under the laws of a country or region subject to comprehensive US sanctions, or if you are on any US government restricted party list, including OFAC’s list of Specially Designated Nationals. You may not use the Service to ship goods to, or do business with, any such country, region or person.

You confirm that you meet these requirements each time you use the Service. We may suspend or close your account immediately if we determine or reasonably suspect otherwise. Where the law requires us to block or hold funds, we will do so.

15. Prohibited use

You may not:

  • use the Service for any unlawful purpose;
  • source, store or ship goods prohibited under the Acceptable Use and Prohibited Products Policy;
  • submit false product, shipment or customs information;
  • attempt to gain unauthorised access to the Service, or probe, scan or test its security;
  • use automated means to extract data from the Service beyond your own account data; or
  • resell or share access to your account.

16. Intellectual property

Ours. The Sourship platform, software, branding and site content belong to sourship LLC. Nothing in these Terms transfers any of it to you.

Yours. You keep ownership of the content you upload, such as product data, images and store information. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce and transmit that content as needed to operate the Service and fulfil your orders. This licence ends when the content is deleted from your account, except for copies kept in backups or required by law.

17. Suspension and termination

By you. You may close your account at any time by contacting us. Closing your account does not entitle you to a refund of any subscription period or credits, except as set out in the Refund and Cancellation Policy or required by law. Your wallet balance can still be withdrawn.

By us. We may suspend or close your account if you breach these Terms, fail to pay, or where the law requires it.

Survival. Sections 8 (wallet), 10 (inventory), 12 (your responsibilities), 13 (counterfeit goods), 16 (intellectual property), 18 (liability), 19 (indemnity) and 21 (governing law) continue after your account closes.

18. Disclaimers and limitation of liability

The Service is provided “as is” and “as available”. We do not promise that it will be uninterrupted or error-free, or that data from marketplaces and suppliers will be accurate.

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special or consequential loss, or for lost profits, lost sales, business interruption, loss of data or damage to reputation; and
  • our total liability arising from the Service is limited to the amounts you paid to Sourship in subscription fees in the three months before the event giving rise to the claim.

This limit does not reduce our obligations under section 10 for inventory lost or damaged at our facility through our fault, or any refund due under the Refund and Cancellation Policy. Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.

19. Indemnity

You will indemnify sourship LLC against claims, damages, losses and reasonable costs, including legal fees, arising from your products, your customs and regulatory declarations, disputes with your customers, claims that goods you sourced are counterfeit or infringing, and your breach of these Terms.

20. Changes to these Terms

We may change these Terms. For material changes, we will email you and post the updated Terms with a new “last updated” date at least 30 days before they take effect. If you keep using the Service after that date, you accept the change. If you do not accept it, you may close your account. Changes never apply to a subscription period already paid for.

21. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising from these Terms or the Service.

If you are a consumer resident in the EU or UK, you may also bring proceedings in the courts of your country of residence, and you keep the benefit of mandatory consumer protections there.

22. General

Entire agreement. These Terms and the documents listed in section 2 are the whole agreement between you and Sourship on this subject.

Severability. If any provision is held unenforceable, the rest remains in force.

No waiver. If we do not enforce a provision, we do not lose the right to enforce it later.

Assignment. You may not transfer these Terms without our written consent. We may transfer them to a successor to our business.

Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including Chinese public holidays, carrier or customs delays, and government action.

Language. These Terms are written in English. Any translation is for convenience only; the English version governs.
