Sourship Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Sourship website, platform, dashboard, and services (collectively, the "Service"). By accessing or using Sourship, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • "Sourship," "we," "us," "our" refers to Sourship and its affiliated entities, partners, and operational teams.
  • "User," "you," "client" refers to any individual or business using Sourship.
  • "Services" include sourcing, purchasing assistance, quality inspection, warehousing, order processing, packaging, fulfillment, shipping coordination, and related support services.
  • "Order" means any request submitted through Sourship for sourcing, storage, or fulfillment.
  • "Supplier" refers to third-party manufacturers or vendors.

2. Nature of the Service

Sourship is a B2B service provider that facilitates product sourcing, warehousing, and fulfillment. We are not the manufacturer, owner, or final seller of the products unless explicitly stated.

We act as an intermediary and logistics service provider, coordinating between users, suppliers, warehouses, and shipping partners.

3. Account Registration

  • You must provide accurate, complete, and current information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are fully responsible for all activities conducted through your account.
  • We reserve the right to suspend or terminate accounts that provide false information or misuse the Service.

4. Orders and Payments

  • All prices, quotes, and fees are provided before order confirmation.
  • Payments must be made in full before order processing begins.
  • Once an order has entered sourcing, inspection, packing, or shipping stages, it cannot be canceled unless explicitly approved by Sourship.
  • Currency conversion fees, bank charges, or payment gateway fees are the responsibility of the user unless stated otherwise.

5. Sourcing and Product Responsibility

  • Sourship does not manufacture products.
  • Product specifications, compliance, certifications, and legal suitability in the destination country are the sole responsibility of the user.
  • We rely on supplier-provided information and do not guarantee authenticity, intellectual property rights, regulatory compliance, or fitness for a particular purpose.

6. Quality Inspection

  • Inspection services are performed based on visible and measurable criteria.
  • Inspections do not guarantee the absence of hidden defects.
  • Inspection reports reflect conditions at the time of inspection only.
  • Sourship is not responsible for issues arising after inspection due to handling, shipping, or manufacturing inconsistencies.

7. Warehousing

  • Storage is provided on a temporary basis.
  • Sourship reserves the right to dispose of, return, or charge additional fees for goods stored beyond agreed periods.
  • Users are responsible for ensuring products are legally storable and shippable.
  • Sourship is not responsible for losses caused by force majeure, customs seizures, government action, or natural disasters.

8. Shipping and Delivery

  • Delivery times are estimates only.
  • Sourship does not guarantee delivery dates.
  • Delays caused by couriers, customs, inspections, weather, or geopolitical events are outside our control.
  • Customs duties, taxes, VAT, and import fees are the responsibility of the user unless otherwise stated.

9. Refunds and Returns

Refunds are governed by Sourship's Refund Policy, which forms part of these Terms. In general:

  • Service fees are non-refundable once work has started.
  • Shipping fees are non-refundable once parcels are dispatched.
  • Refunds for defective or incorrect items depend on supplier acceptance and evidence provided.

10. Intellectual Property

  • All website content, branding, systems, software, and materials are the property of Sourship.
  • You may not copy, reproduce, or use our materials without written permission.

11. Prohibited Use

You agree not to:

  • Use Sourship for illegal activities
  • Ship prohibited or restricted goods
  • Infringe intellectual property rights
  • Misuse the platform or attempt unauthorized access
  • Provide false shipment or product information

We reserve the right to suspend services without notice for violations.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Sourship shall not be liable for indirect, incidental, or consequential damages.
  • Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
  • We are not liable for lost profits, business interruption, or reputational damage.

13. Indemnification

You agree to indemnify and hold Sourship harmless from any claims, damages, losses, or expenses arising from:

  • Your products
  • Regulatory violations
  • Customer disputes
  • Incorrect declarations
  • Intellectual property claims

14. Termination

We may suspend or terminate your access:

  • For violation of these Terms
  • For non-payment
  • For legal or compliance reasons

Termination does not affect outstanding payment obligations.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to Sourship's operating jurisdiction, without regard to conflict of law principles.

16. Changes to These Terms

We may update these Terms at any time. Changes become effective upon posting on the website. Continued use of the Service constitutes acceptance of the revised Terms.
