Welcome to Sourship! These Terms & Conditions (“Terms”) govern your use of the Sourship website, platform, and related sourcing, warehousing, and fulfillment services (collectively, the “Services”).

By creating an account, accessing our platform, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Overview of Services

Section Summary We are a logistics and fulfillment partner, not a manufacturer. We connect you to factories and ship your orders globally.

Sourship acts as a B2B logistics and fulfillment service. We provide e-commerce sellers, dropshippers, and brands with product sourcing from Chinese marketplaces (e.g., 1688.com), quality inspection, warehousing, and international fulfillment.

Sourship is a service provider, not the manufacturer of the goods. We facilitate the purchase and logistics between you (the Seller), third-party Chinese suppliers, and your end-customers.

2. Account Registration and User Responsibilities

To use our Services, you must register for an account. By doing so, you agree to the following responsibilities:

  • Accuracy of Information: You must provide accurate, current, and complete information for your account, as well as for all customer delivery addresses submitted for fulfillment. Sourship is not responsible for failed deliveries due to incorrect or incomplete addresses provided by you.
  • Platform Compliance: You are solely responsible for ensuring that your products, product listings, and business practices comply with the rules and policies of the platforms you sell on (e.g., Amazon, eBay, Shopify, Etsy).
  • Legal Compliance: You must ensure that the products you source and ship comply with the local laws, import regulations, and customs requirements of the destination country.
  • Customs, Duties, and Taxes: Sourship is not responsible for any import duties, taxes, or customs fees levied by the destination country. These charges are the sole responsibility of the end-customer or the Seller.

3. Subscriptions, Sourcing Credits, and Payments

Section Summary You must maintain a positive wallet balance. Fraudulent chargebacks will result in immediate account termination and forfeiture of inventory.
  • Subscription Tiers: Sourship operates on a subscription model (Starter, Advance, Pro) that dictates your monthly order limits and sourcing credits.
  • Sourcing Credits: Credits are consumed when utilizing our sourcing features. Unused credits are subject to our credit rollover or expiration policies as outlined in your specific plan.
  • Wallet Balance: Payments for product costs and shipping fees are deducted from your Sourship dashboard balance. You must maintain sufficient funds to process orders.
  • Abandoned Inventory & Storage Fees: If inventory is held in our warehouse for more than 60 days without any active orders, Sourship reserves the right to charge monthly storage fees or liquidate/destroy the abandoned inventory without compensation.
  • Chargebacks and Disputes: Filing a fraudulent or uncommunicated chargeback with your bank or credit card provider is a strict violation of these Terms. Doing so will result in immediate account suspension, forfeiture of any inventory held in the warehouse, and potential legal action.

4. Prohibited and Restricted Items

You may not use Sourship to source, store, or ship:

  • Illegal drugs, narcotics, or related paraphernalia.
  • Weapons, firearms, explosives, or highly flammable materials.
  • Hazardous materials, corrosive chemicals, or restricted batteries.
  • Counterfeit goods or items that infringe on the Intellectual Property (IP), copyrights, or trademarks of third parties.

IP Liability: If you request Sourship to source branded or trademarked goods, you assume all legal liability. We reserve the right to refuse the sourcing of any item deemed high-risk.

5. Quality Control and Operational Errors

  • Inspection Scope: Sourship provides visual quality inspections for visible defects, correct variations (size/color), and packaging integrity. We do not perform in-depth technical testing.
  • Operational Mistakes: If Sourship makes a confirmed operational error, we will work to correct it via reshipment or appropriate refund.
  • Supplier Defects: Sourship is not liable for hidden manufacturing defects or poor material quality provided by the original supplier.
  • Strict Dispute Window: All claims for damaged, missing, or incorrect items must be reported to Sourship within 7 days of the carrier’s ‘Delivered’ scan. Claims made after this window will be denied.

6. Limitation of Liability (Important)

Section Summary We are not liable for platform bans, store suspensions, or lost marketing profits due to delays or supplier issues.

To the maximum extent permitted by law, Sourship and its admins, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

  • Store Suspensions: Sourship is strictly NOT responsible for store suspensions, bans, or restrictions on any selling platform. Even if a suspension is related to shipping delays or supplier issues, we do not control platform algorithms.
  • Lost Profits: We are not liable for lost revenue, lost profits, or marketing losses resulting from delayed shipments, stockouts, or supplier errors.

7. Right to Refuse Service & Account Termination

Sourship reserves the right to refuse service, suspend, or terminate your account at any time, without prior notice, for reasons including but not limited to:

  • Repeated violations of these Terms.
  • Abusive, disrespectful, or threatening communication toward Sourship staff.
  • High-risk behavior, including excessive disputes or fraud indicators.
  • Attempting to source or ship illegal, restricted, or highly problematic products.

8. Force Majeure

Sourship shall not be held liable for any delays, failures to fulfill orders, or disruptions to service caused by events beyond our reasonable control. This includes natural disasters, pandemics, severe weather, customs delays, carrier strikes, government actions, or international shipping crises.

9. Changes to the Terms

Sourship reserves the right to update or modify these Terms at any time. We will notify users of significant changes via the email associated with their account or an announcement on the dashboard. Continued use of the platform after changes are made constitutes your acceptance of the revised Terms.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the jurisdiction in which Sourship’s primary entity operates. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration or in the appropriate courts of that jurisdiction.
